Terms of Service

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information as needed. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@langis.ai if you suspect unauthorized access.

Langis provides an AI-powered Connection Intelligence platform that uses our proprietary, patent-pending Connection Compatibility Algorithm (“CCA”) to analyze behavioral compatibility and generate connection recommendations. Our Services include:

• Ralphi: AI connection expert for the Microsoft partner ecosystem and other deployed communities
• Langis Signature: Professional identity report generated from your behavioral compatibility assessment
• Connection Recommendations: AI-generated match suggestions based on compatibility scoring across 50+ behavioral dimensions
• Organization Deployments: Enterprise and organizational implementations of Connection Intelligence for chambers, associations, and companies
• Open Community: General professional networking powered by Connection Intelligence

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Provide false, misleading, or inaccurate information in your profile or compatibility responses
• Attempt to manipulate, game, or reverse-engineer the Connection Compatibility Algorithm or compatibility scores
• Harvest, scrape, or collect data from other users or the platform without authorization
• Use automated systems, bots, or scripts to access the Services without our written permission
• Harass, abuse, threaten, or intimidate other users
• Impersonate another person or entity
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to send unsolicited commercial communications or spam

Our platform operates on a mutual consent model. Introductions between users occur only when both parties have opted in. You acknowledge that opting in to an introduction does not guarantee a successful business relationship or outcome. Langis facilitates introductions but is not a party to any resulting business arrangements between users.

Individual Subscriptions

Certain features require a paid subscription. Subscription fees, billing cycles, and payment terms will be presented to you at the time of purchase. All fees are non-refundable unless otherwise stated.

Organization Licenses

If your access is provided through an organizational license, your organization’s agreement with us governs billing and payment terms.

Free Trials

We may offer free trial periods. At the end of a trial, your subscription will convert to a paid plan unless you cancel before the trial expires.

Price Changes

We reserve the right to change subscription fees. We will provide at least 30 days’ notice before any price increase takes effect

Our Property

The Services, including the Connection Compatibility Algorithm, Ralphi, all software, algorithms, designs, trademarks, and content created by us, are the exclusive property of Langis, Inc. and are protected by patent, copyright, trademark, and other intellectual property laws. The CCA is patent-pending with the United States Patent and Trademark Office.

Your Content

You retain ownership of the content you provide through the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze that content solely to provide and improve our Services.

Feedback

If you provide suggestions, ideas, or feedback about our Services, we may use them without obligation to you.

The Services are provided “as is” and “as available” without warranties of any kind, express or implied.

Langis does not guarantee that connection recommendations will result in successful business relationships, partnerships, or specific outcomes. Compatibility scores are algorithmic assessments based on behavioral data and should not be the sole basis for business decisions. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Langis and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. Our total aggregate liability for any claims arising from or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Langis, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting support@langis.ai. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York, New York.

Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative proceeding.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after modifications take effect constitutes acceptance of the revised Terms.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable organization agreement, constitute the entire agreement between you and Langis regarding the Services.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
